The Concert/rehearsals shall take place 2017.gada 11.februāris plkst. 19:00, Vidzemes 11 th February, 2017, at 19:00 in the Vidzeme koncertzāle Cēsis, Cēsis Concert Hall Cēsis, Cēsis 4. Izpildītais skaņdarbs/koncerta programma 4. Composition to perform/concert program saskaņā ar Koncerta programmu (pielikums) According to the Concert program (Annex) 5. Atlīdzība 5. Remuneration 6. Norēķinu kārtība 6. Procedure of payments
6.1. VKC ir atbildīgs par Latvijas Republikas normatīvajos aktos noteikto nodokļu samaksu normatīvajos aktos noteiktajā kārtībā. 6.2. VKC pēc nodokļu aprēķināšanas un ieturēšanas, pārskaita Līguma 5.1.punktā minēto neto atlīdzību uz Partnera norādīto norēķinu kontu 5 (piecu) darba dienu laikā pēc pieņemšanas nodošanas akta parakstīšanas un Partnera rēķina saņemšanas, bet ne vēlāk kā līdz 2017. gada 17. februārim. 6.1. Taking into account that a place of supply of the service is the domicile of the recipient (VKC), it is VKC liability to pay taxes in according to legislation of the Republic of Latvia. 6.2. VKC calculates and withholds taxes and transfers neto remuneration mentioned in the Article 5.1 of the Agreement in 5 (five) working days after signing the acceptance conveyance act and from the receipt of the invoice from the Partner, but not later than 17 th February 2017. 7. Autortiesības un blakustiesības 7. Author rights and copyrights 7.1. VKC ir atbildīgs par Koncertā izpildītās mūzikas autoru, kā arī pārējo izpildītāju autortiesību un blakustiesību ievērošanu. 7.2. Partneris piešķir VKC tiesības veikt Koncertā veikto Mākslinieku izpildījuma tiešo translāciju televīzijā un radio, kā arī izpildījuma fiksāciju, piešķirot producenta tiesības uz šajā punktā minētā izpildījuma fiksāciju (ieraksts) VKC. VKC ir tiesīgs ierakstu publicēt un izmantot nekomerciāliem mērķiem, kā arī bez termiņa un skaita ierobežojuma publiskot izpildījuma fiksāciju radio/tv ēterā, internetā un uzglabāt radio/tv arhīvā. VKC šajā punktā minētās tiesības var nodot trešajām personām. Par jebkuru citu ieraksta izmantošanu vai materiālu izmantošanu komerciāliem nolūkiem, Līdzēji vienojas atsevišķi. 7.3. VKC ir tiesīgs veikt Koncerta, t.sk. Mākslinieku, fotografēšanu/filmēšanu un izmantot fotoattēlus/video VKC pašreklāmas vajadzībām 7.4. Partneris ir atbildīgs par tiesību iegūšanu no Māksliniekiem par Koncertā veiktā izpildījuma fiksēšanu, publiskošanu, translēšanu un izmantošanu Līguma 7.2., 7.3.punktā noteiktajos veidos un apjomā. 8. Papildus noteikumi 8. Additional provisions 8.1. VKC sedz mākslinieku iekšējā transporta izdevumus; 8.2. VKC sedz mākslinieku izmitināšanu Cēsīs (5 vienvietīgi viesnīcas numuriņi) no 11.- 12.februārim; 8.3. VKC sedz mākslinieku avio. 2 mākslinieku avio izdevumus maršrutā Frankfurte/Rīga/Frankfurte un 3 mākslinieku avio izdevumus Seviļa/Rīga/ Seviļa. 8.4. Partneris bez papildus atlīdzības nodrošina Mākslinieku publicitātes materiālus (biogrāfijas, fotoattēlus u.c.), kurus VKC ir tiesīgs bez ierobežojuma izmantot Koncerta publicitātes mērķiem Koncerta reklāmas materiālos. The VKC is responsible for the respect of the rights of the music performers, authors and their rights holders for the use of music in the Concert, as well as other related rights of the above persons. 7.2. The Partner shall grant the rights to VKC to release the Artists performance given under the confines of the Agreement for live transmission via radio and television, and to produce a fixation of the performance, assigning to VKC the rights of producer of the fixation (recording) as regards the performance stipulated by this section. VKC is allowed to publish the recording or use it for non-commercial purposes as well as use it, without limitation of term and number, to publish the fixation of the performance via the airwaves of radio and television and via internet, and to store it in the archives of radio and television. The VKC may transfer the rights covered by this section to third parties. For materials use in a commercial context or other use of the recording a new agreement must be made between the Parties. 7.3. The Partner shall grant the rights to VKC to take photos/ film the Concert and Artist and use these materials for VKC self - advertising purposes. 7.4. The Partner is responsible for obtaining rights from Artists for live transmission and fixation of the Artists performance given under the confines of the Agreement as well as for use the recording according to the Article 7.2, 7.3. of the Agreement. 8.1. VKC covers the expenses of inner transport in route; 8.2. VKC covers hotel expenses from 11 th -12 th February (5 single rooms) in Cesis; 8.3. VKC ensures avio for 2 artists Frankfurt/Riga/Frankfurt and 3 artists Seville/Riga/Seville; 8.4. The Partner provides, at no extra cost, publicity material such as biographies and photographs of the Artist for use by the Partner without restrictions in Concert publicity materials. The Partner is responsible for the respect of the rights of the authors and their rights holders for the use of such materials.
gadījumā Partneris ir atbildīgs par visu nosūtīto materiālu autoru tiesību ievērošanu VISPĀRĪGIE NOTEIKUMI 9. Līguma noslēgšanas pamatā ir vēlēšanās abpusēji sadarboties Koncerta realizēšanā, respektēt vienam otru, uzticēties un izrādīt maksimālu pretimnākšanu gadījumos, kas nav un nevar būt paredzēti Līgumā. 10. Līdzēju saistības: 10.1. Partneris apņemas: 10.1.1. nodrošināt Mākslinieku dalību Koncertā un Koncerta mēģinājumos; 10.1.2. nodrošināt, ka Mākslinieki sagatavo un augstā mākslinieciskā kvalitātē Koncertā izpilda Līguma 4.punktā minēto skaņdarbu vai Koncerta programmu; 10.1.3. nodrošināt, ka Mākslinieki bez atsevišķa saskaņojuma ar VKC: 10.1.3.1. neizpilda tādu pašu Koncerta programmu publiskā izpildījumā 5 (piecas) dienas pirms un 5 (piecas) dienas pēc VKC organizētā Koncerta; 10.1.3.2. neveic publisku izpildījumu Līguma 3.punktā norādītajā Koncerta norises pilsētā 5 (piecas) dienas pirms un 5 (piecas) dienas pēc VKC organizētā Koncerta; 10.1.4. nodrošināt Mākslinieku publicitātes materiālus, kurus Partneris tiesīgs izmantot saskaņā ar Līguma noteikumiem. 11. VKC apņemas: 11.1.1. nodrošināt Koncerta plānošanu, organizēšanu un realizēšanu; 11.1.2. nodrošināt Koncerta publicitāti un reklāmas materiālu izgatavošanu; 11.1.3. nodrošināt Līguma 5.punktā minētās atlīdzības samaksu Līguma 6.punktā minētajā kārtībā; 11.1.4. nodrošināt Līguma 8.punktā minēto attiecīgo izdevumu segšanu 11.2. Līdzēju atbildība 12.1. Līdzēji apņemas godprātīgi pildīt ar šo Līgumu uzņemtās saistības. 12.2. Ja kāds no Līdzējiem daļēji vai pilnībā nepilda GENERAL PROVISIONS 9. The Agreement is based on a desire to collaborate in realization of the Concert, and on mutual respect, trust and maximum goodwill in cases that are not, and cannot possibly be, foreseen and covered by the Agreement. 10. Liability of the Parties: 10.1. The Partner undertakes: 10.1.1. to ensure the participation of the Artists in the Concert and rehearsals; 10.1.2. to ensure that the composition or Concert Program mentioned in the Article 4 of the Agreement is prepared and performed by the Artists in high artistic quality in the Concert; 10.1.3. without separate permission of the VKC ensure that Artists: 10.1.3.1. not to perform the same Concert program 5 (five) days before and 5 (five) days after the Concert organized by the VKC; 10.1.3.2. not to perform the public performance in the city mentioned in the Article 2 of the Agreement 5 (five) days before and 5 (five) days after the Concert organized by the VKC took place in the corresponding city; 10.1.4. to provide publicity material such as biographies and photographs of the Artists for use by the Partner according to this Agreement. 11. The VKC undertakes: 11.1.1. to ensure the planning, organization and realization of the Concert; 11.1.2. to ensure the publicity of the Concert; 11.1.3. to pay the remuneration mentioned in the Article 5 of the Agreement in order stipulated in the Article 6 of the Agreement; 11.1.4. to ensure and cover correspondent costs mentioned in the Article 8 of the Agreement. 11.2. Liability of Parties 12.1. The Parties undertake to fulfill the

Ja Koncerts tiek atcelts nepārvaramas varas Force majeure gadījumā, ar ko saprot streikus, jebkuras valstiskas iestādes rīcību vai lēmumus, epidēmijas, nelabvēlīgus laika apstākļus, nacionāla vai vietēja mēroga ārkārtas situācijas, ugunsgrēkus, izpildītāju slimību, savainojumu, rīcībnespēju, nāvi vai tuvinieku zaudējumu, vai jebkuru citu iemeslu, kuru VKC vai Partneris nevar ietekmēt, bet Mākslinieki jau ir devušies uz Koncerta norises vietu, Partnerim ir pienākums segt ceļa un izmitināšanas izdevumus līdz brīdim, kamēr Mākslinieki pamet Koncerta norises vietas valsti. 13. Strīdu risināšanas kārtība Visi strīdus jautājumi tiek risināti sarunu ceļā, pieliekot visas pūles, lai panāktu vienošanos. Ja vienošanās nav panākama, strīdus jautājumi risināmi Koncerta norises vietas valsts normatīvajos aktos paredzētajā kārtībā. 14. Nobeiguma noteikumi 14.1. Līgums stājas spēkā ar brīdi, kad to ir parakstījuši abi Līdzēji un ir spēkā līdz abpusējai saistību izpildei. 14.2. Līgumu var papildināt un grozīt tikai ar abu Līdzēju rakstisku piekrišanu. Jebkuri Līguma papildinājumi vai grozījumi kļūst par Līguma neatņemamu sastāvdaļu. 14.3. Parakstot Līgumu Līdzēju pārstāvji apliecina, ka ir pilnvaroti slēgt šāda satura Līgumu Līdzēju vārdā. 14.4. Līgums sastādīts uz 4 (četrām) lapām 2 (divos) eksemplāros latviešu un angļu valodā, ar vienādu juridisko spēku. Līguma atšķirīgas interpretācijas gadījumā, noteicošais ir teksts angļu valodā. Katram Līdzējam pienākas viena Līguma kopija. obligations under this Agreement in good faith. 12.2. If either of Parties does not fulfill obligations under this Agreement in full or in part, it shall reimburse to other Party all the losses related to the failure to comply with the obligations of this Agreement. 12.3. If the Concert should have to be cancelled by cause of Force majeure (an act of God, physical disability, the acts or regulations of public authorities or labour unions, labour difficulties, strike, civil tumult, terrorist attack, war, epidemic, interruption or delay of transportation service) or any cause of similar nature beyond the control of the VKC or of the Partner, and should the Artists already have departed for the Concert, the Partner will be liable for the travel and transportation costs for the Artists, which have occurred until such time as the Artists can be repatriated. 13. Settlement of disputes Any disputes shall be settled through negotiations, trying the best to reach agreement. If such an agreement cannot be reached, the dispute shall be settled in accordance with procedure stipulated in the legislation of the Partners domicile country. 14. Final provisions 14.1. This Agreement enters into force upon signature of both Parties and is concluded for the period until both Parties fulfill their obligations under this Agreement. 14.2. This Agreement may be supplemented and amended only by written agreement of both Parties. Any supplements and amendments to this Agreement shall become integral part thereof. 14.3. With the signing the Agreement the representatives of the Parties confirm that they are eligible to sign such agreement on behalf of the Parties involved in the Agreement. 14.4. The Agreement is concluded on 4 (four) pages in two original copies in Latvian and English languages, all being considered of equal legal effect. In case of any divergence in the interpretation of the provisions of the Agreement, the English version shall prevail. Each Party has a one copy of the Agreement.
